Merrill Lynch B.V. (MLBV) informe par la présente les porteurs de billets MLBV (voir la liste I) d'une transaction de fusion interne prévue, dans le cadre de laquelle B of A Issuance, B.V. (BofAIBV), une société privée néerlandaise à responsabilité limitée, sera fusionnée avec MLBV, également une société privée néerlandaise à responsabilité limitée. MLBV sera l'entité subsistante. BofAIBV est une filiale en propriété exclusive de Bank of America Corporation (BAC). MLBV est une filiale indirecte en propriété exclusive de BAC. Sous réserve de certaines questions concernant les sociétés aux Pays-Bas, la fusion devrait être finalisée aux alentours du 1er octobre 2015.
Une fois la fusion réalisée, tous les billets en circulation précédemment émis par BofAIBV (voir la liste II) seront des obligations de MLBV et tous les paiements qui y sont liés seront effectués par MLBV. Par ailleurs, après la fusion, les billets en circulation continueront d'être garantis par BAC et le domicile de paiement et les cotations boursières de ces billets resteront les mêmes.
