NOTICE OF EARLY REDEMPTION TO THE NOTEHOLDERS
dated 11 September 2026
in relation to the
BPCE €900,000,000 Contingent Tier 2 Capital Subordinated Fixed Rate Resettable Notes due January 2042 issued as Series no.: 2021-13
(ISIN: FR0014005V34) (the “Notes”)
On 13 October 2021, the Issuer issued the Notes with a prospectus dated 11 October 2021 which received approval no. 21-438 from the Autorité des marchés financiers (the “Prospectus”), which includes the terms and conditions of the Notes (the “Conditions”). Capitalized terms not specifically defined in this notice shall have the meaning given to them in the Conditions.
Notice is hereby given that, pursuant to Condition 7.2 (Redemption at the option of the Issuer) of the Conditions, the Issuer will redeem the Notes in full on 13 October 2026 (the “Optional Redemption Date” ).
An Euronext Paris notice regarding the delisting of the Notes will be published, with effect on such date accordingly.
At the Optional Redemption Date, the Issuer will pay to each noteholder the principal amount of such Notes together with any interest accrued up to (but excluding) the Optional Redemption Date (the “Optional Redemption Amount”).
