FUTUREN : Following the simplified tender offer, the EDF Energies Nouvelles group holds an 87.5% stake in FUTUREN’s share capital (AcT)

As stated in a notice published by the Autorité des Marchés Financiers, as at the close, on July 19, 2017, of the simplified tender offer launched on the FUTUREN shares and OCEANEs, the EDF Energies Nouvelles group holds 240,855,625 FUTUREN shares ⁽¹⁾, representing the same amount of voting rights, i.e. 87.52% of the share capital and at least 87.23% of the voting rights of FUTUREN.

As at the same date, the EDF Energies Nouvelles group also holds 105,601 OCEANEs, representing 62.73% of the OCEANEs outstanding, whose conversion can be requested at any time up to December 31, 2019 and which could lead to the creation of 861,704 shares in case of conversion by August 10, 2017 on the basis of the adjusted conversion ratio of 8.16 shares per OCEANE.
 

1. Including the holding by assimilation of 1,640,565 shares held by Fady Khallouf currently under lock-up period, and taking into account the conversion on July 14, 2017 of 5,916,569 OCEANEs held by the EDF Energies Nouvelles group into 48,279,202 shares.
